XCF Global, Inc. (NasdaqCM:SAFX) entered into a binding term sheet to acquire DevvStream Corp. (NasdaqCM : DEVS) and Southern Energy Renewables Inc. on January 26, 2026.

Following the closing of the Transaction, the board of directors of XCF Global will comprise of Four (4) members designated by XCF including its CEO, Chris Cooper, who shall chair the Board, Two (2) members designated by Southern and One (1) member designated by DEVS. After completion of transaction, DevvStream will hold 10% and Southern Energy will hold 23.33% stake in XCF Global.

The transaction is subject to approval of offer by XCF Global, DevvStream and Southern Energy shareholders, consummation of due diligence investigation, definitive agreement, listing / approval of new shares on stock exchange and registration statement effectiveness(S-4 / F-4). The Board of Directors of DevvStream Corp. and Southern Energy Renewables Inc. formed a special committee for the transaction.
